Terms of Service

1. Acceptance of Terms

By accessing or using the HarboCharge platform, including the website at www.harbocharge.com, mobile applications, EV charging stations, and all related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Services.

These Terms constitute a legally binding agreement between you and Harborline Ventures Private Limited ("HarboCharge", "we", "us", or "our"), a company incorporated under the laws of India.

2. Description of Services

HarboCharge provides:

• DC fast charging infrastructure for electric vehicles at various locations across India.
• A digital platform for discovering chargers, initiating and managing charging sessions, and processing payments.
• Charging station hosting and management solutions for property owners and businesses.
• An OCPP-compliant charger management platform for operators.

3. User Accounts & Registration

To use certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and not share them with third parties.
• Notify us immediately of any unauthorised access to your account.
• Be responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. User Obligations

When using our Services, you agree to:

• Use the charging stations only for their intended purpose of charging compatible electric vehicles.
• Follow all instructions, safety guidelines, and signage at charging stations.
• Not tamper with, damage, or misuse any charging equipment or infrastructure.
• Not attempt to bypass payment systems or obtain unauthorised access to our platform.
• Vacate the charging spot promptly after your session is complete.
• Comply with all applicable local laws and regulations.

5. Payments & Pricing

• Charging session prices are displayed before you start a session and are calculated based on energy consumed (per kWh) and/or time spent.
• Payments are processed via UPI, credit/debit cards, or wallet balances through our secure payment partners.
• All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.
• We may place a temporary hold on your payment method at the start of a session, which is adjusted to the actual amount upon session completion.
• Refunds, if applicable, will be processed in accordance with our refund policy and may take 5-7 business days to reflect.
• We reserve the right to modify pricing with reasonable notice. Price changes will not affect sessions already in progress.

6. Intellectual Property

All content, designs, logos, trademarks, software, and intellectual property associated with HarboCharge are owned by or licensed to Harborline Ventures Private Limited. You may not reproduce, distribute, modify, create derivative works, publicly display, or otherwise exploit any of our intellectual property without prior written consent.

7. Service Availability & Disclaimers

• Charging stations may be temporarily unavailable due to maintenance, power outages, technical issues, or other circumstances beyond our control.
• We provide the Services on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
• We do not warrant that the Services will be uninterrupted, error-free, or compatible with all electric vehicles.
• Charging speed and performance depend on your vehicle's battery management system, ambient conditions, and station load.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• HarboCharge shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
• We are not liable for any damage to your vehicle, battery, or property arising from the use of our chargers, except where such damage is directly caused by a proven defect in our equipment.
• Our total aggregate liability for any claims arising from these Terms shall not exceed the amount you paid to HarboCharge in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Harborline Ventures Private Limited, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Services, or infringement of any third-party rights.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. Upon termination:

• Any outstanding charges will remain payable.
• Wallet balances, if any, will be refunded to your original payment method within 30 days, minus any outstanding charges.
• Provisions that by their nature should survive termination (including limitation of liability, indemnification, and governing law) shall continue in effect.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If unresolved within 30 days, either party may pursue legal remedies.

12. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated through our website or via email. Your continued use of the Services after any modifications constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
